YOUR LICENSE TO US

You understand and agree that you will not be compensated for any User-generated Content contributed by you. You agree that this includes the right for us to make such User-generated Content available to other companies, organisations, or individuals who partner with us for the syndication, broadcast, distribution or publication of your User-generated Content on other media and services, both locally and internationally, subject always to these Terms. You also agree that in the event we receive any royalties, compensation or other payments associated with exercising the rights granted to us under these Terms, you cannot claim any right to any portion of such royalties, compensation or other payments.
We do not, unless we agree this with you, claim any rights of ownership in your User-generated Content. That means you keep all ownership rights in your Contribution and, although we will be able to use your User-generated Content as set out in these Terms, you will also have the right to use your User-generated Content in any way you choose. If we ever plan to acquire ownership of your User-generated Content, this will be made clear on the relevant Website (or in the relevant campaign) and you will then be able to choose whether to provide your Contribution on that basis.
CONDITIONS THAT APPLY TO USER-GENERATED CONTENT
Before you post, upload, or submit User-generated Content to us, you must make sure:
that you are 18 years or older;
that if children are featured in the User-generated Content, you are the parent/guardian with legal responsibility of any minors depicted in the User-generated Content and have their permission to include them;
that the User-generated Content original to you and does not infringe the copyright, intellectual property, or any other right of any person or company;
that the User-generated Content is not defamatory, obscene or sexually oriented, abusive, vulgar, offensive, indecent, harassing, threatening;
that the User-generated Content is not in contempt of court;
that the User-generated Content does not promote or threaten violence toward anyone or advance criminal activities, including terrorism, human trafficking or modern slavery;
that the User-generated Content does not breach any person's privacy and you have the rights from any and all persons and/or companies appearing in such User-generated Content to use their names, images or likenesses;
that nothing in the User-generated Content constitutes illegal activity or conduct that could give rise to liability or encourage others to take part in criminal conduct or conduct that could give rise to liability;
that the User-generated Content does not include an advertisement, promotion, commercial solicitation, contest or survey;
that the User-generated Content does not contain, transmit or disseminate spam, chain letters, viruses, corrupted files, or any other similar software or programs that may damage or adversely affect the operation of another's computer, the Website, or any software, hardware or other related equipment.
OUR RESPONSIBILITY
You agree that we are not responsible for, and have no liability for any User-generated Content contributed by you or other users and published by us or by authorised third parties.

OUR RELATIONSHIP TO YOU
This Agreement in no way creates any agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship between you and the Company.
NO PROFESSIONAL-CLIENT RELATIONSHIP
Your use of our Site, any of its Offerings (including downloadable Materials), and/or Social Media -- including implementation of any suggestions set out therein, does not create a professional-client relationship between you and the Company. We cannot accept you as a client unless and until we determine that there is a fit and until various requirements, such as fee arrangements, are resolved. Thus, you recognize and agree that we have not created any professional-client relationship by the use of this Site, any of its Offerings (including downloadable Materials), and/or Social Media.
MEDIA RELEASE
By accessing our Website; using, purchasing, or enrolling in any of our Offerings, such as utilizing our apps, enrolling in our programs or curated experiences, participating in our Communities, activities, or events; contributing User-generated Content; and/or engaging with us on Social Media, you consent to photographs, video, and/or audio recordings that may be made that may contain you, your voice, and/or your likeness. In our sole discretion, we reserve the right to use these photographs, video, audio recordings, and/or any other materials of you in connection with your participation in our Offerings, Social Media, and/or our advertising, marketing or promotional efforts, without compensation to you at any time, now or at any time in the future.
PAYMENTS
We use a third-party to process and receive any payments you make on our Site. All information obtained during your purchase or transaction for any of our Products, Services, Programs, Resources, Content, Software, Functionality, and/or Communities-related endeavors, as well as all of the information that you give as part of the transaction, such as your name, address, method of payment, credit card number, and billing information, may be collected by both us and our payment processing company.
You agree to only donate and/or purchase information, services, or goods (both digital and physical), for yourself or for another person for whom you are legally permitted to do so, or for whom you have obtained the express consent to provide their name, address, method of payment, credit card number, and billing information.
You represent and warrant that (i) any credit card or debit card information you supply is true and complete, (ii) charges incurred by you will be honored by your bank or credit card company, (iii) you will pay the charges incurred by you at the posted prices, including any applicable taxes and transaction fees, and (iv) if your initial payment method is dishonored, you will still pay the incurred charges, including any surcharge we may incur due to the dishonored payment.
INSTALLMENT PAYMENTS
If you are using the Installment Payment option (exclusive to certain Products, Services, and Programs as approved by the Company), you give us permission to automatically charge your credit or debit card or PayPal as payment for your purchase of the Product, Service, and/or Program without any additional authorization, for which you will receive an electronic receipt.
If payment is not received by the date due, you will have a five (5) day grace period to make the payment; otherwise, your enrolment in the applicable Product, Service, and/or Program will not continue, and we reserve the right to cease your access immediately and permanently. If you fail to make payment in a timely manner in accordance with these Terms or voluntarily decide to withdraw from the applicable Product, Service, and/or Program at any time or for any reason whatsoever, you still will remain fully responsible for the full cost of the applicable Product, Service, and/or Program.
ACCESS TO OUR SITE AND OFFERINGS
We try to ensure that the availability and delivery of our Site, and any of its Offerings (including downloadable Materials) is uninterrupted and error-free. However, we cannot guarantee that your access will not be suspended or restricted from time to time, including to allow for repairs, maintenance or updates, although, of course, we will try to limit the frequency and duration of suspension or restriction. If you have purchased any item previously which would be affected by this right when we exercise it, you agree that your purchased item is limited only to the item in its original format when you purchased it. Should we decide to upgrade, rework, or revamp the item which you have purchased previously into a shorter or longer format, change the media format, or any change that would materially change the substance or content of the item you have purchased previously, you agree that you have not paid for the ‘new revised’ item and that we are under no obligation to offer you the ‘new revised’ item at a reduced price or to offer it to you at no cost.
